Your LLC has an EIN. What needs reviewing before tax filing?

Legal formation, federal tax classification and annual filing obligations are separate parts of running an LLC.

Forming an LLC and obtaining an EIN are useful starting points, but they do not by themselves identify every tax return your business needs.

Establish the federal classification

A domestic single-member LLC is generally disregarded for federal income tax purposes unless it elects corporate treatment. A domestic LLC with two or more members generally defaults to partnership treatment unless it elects corporate treatment. Employment and certain excise taxes have separate rules.

Bring the ownership and activity records

  • Formation documents, EIN confirmation and ownership changes.
  • Any classification or S corporation election records.
  • Bookkeeping, bank activity and owner contributions or withdrawals.
  • Payroll, sales channels and the states where business takes place.

Review obligations before assuming none apply

A quiet year or no profit does not, by itself, settle every filing question. Ownership, transactions, tax elections and state requirements need a separate review. Foreign ownership can raise additional information-reporting questions. Ask for a filing checklist covering both the business and its owners where relevant.
