Who this helps
Sales Tax Registration & Filing
Online sellers, marketplace merchants and businesses selling products or services across state lines.
Where we begin
Separate direct and marketplace sales, inventory locations, registrations and product types before reviewing state obligations.
Service scope
Nexus analysis across all 50 states
Registration & recurring filings
Voluntary disclosure for past exposure
Selling across state lines has made sales tax one of the most complex compliance areas for US businesses. Since the 2018 South Dakota v. Wayfair decision, states can require out-of-state sellers to collect sales tax once they pass economic thresholds — even without a physical presence.
What we help with
Economic and physical nexus analysis across all states
Sales tax permit registration
Monthly, quarterly and annual returns and payments
Marketplace facilitator rules (Amazon, Shopify and others)
Exemption certificates and taxability of products and services
Voluntary disclosure agreements and back-tax remediation
Who it is for
E-commerce sellers, SaaS and digital product companies, wholesalers and any business selling into multiple states.
Why it matters
Sales tax that should have been collected becomes the seller's own liability, usually with penalties and interest. A clear nexus review lets you register only where required and stay compliant as you grow.
What your engagement can include
01
A state-by-state review of relevant nexus and registration questions within the agreed scope.
02
Registration or recurring filing support, with sales reconciliation and exemption information where relevant.
03
A record of submissions and payments, filing frequency and unresolved historical exposure to review.
The engagement sets out the applicable years, jurisdictions, forms and deliverables. Filing, payment and agency processing follow their respective requirements.
What to prepare
Sales data by state (direct and marketplace)
Existing sales tax permits
Types of products or services sold
Prior sales tax returns, if any
Not sure you have everything? We will send a personalized checklist after your consultation.
Fees depend on the complexity of your situation, such as the number of forms, income sources and states involved. We provide a quote after the initial consultation, before any work begins.
Does an LLC with no profit still need a tax review?
Yes. No profit does not resolve every filing obligation. Review the LLC’s tax classification, ownership, transactions, elections and relevant state requirements. Bring the formation documents, EIN confirmation, bank activity and any foreign-ownership information.
If a marketplace collects sales tax, is my business finished with sales tax compliance?
Not necessarily. Direct sales, inventory, other physical activity and each state’s rules can still matter. Separate marketplace and direct sales, retain collection reports and review existing permits and filing frequencies before assuming no further action is required.
